Job Description

Purpose:

The Corporate and Real Estate Paralegal is responsible for providing legal research, paralegal services, and support to managers and attorneys in the compilation and review of corporate and real estate matters.

Responsibilities:

• Assist with the maintenance of corporate records of the parent company as well as operating subsidiaries including: maintenance of corporate minute books, incorporation, preparing secretary’s certificates, name changes, mergers and dissolutions, filing of annual reports, draft corporate minutes, prepare resolutions, consents, articles of incorporation and by-laws and document the election and removal of corporate officers.
• Assist with the Company’s various financing and securitizations.
• Work with the Company’s field management related to legal matters.
• Interact with corporate officers and outside counsel
• Assist in real estate matters; including title, surveys, and environmental reports
• Perform legal research, identify laws and draft advisory memos relevant to specific matters.
• Remain updated on current state and federal corporate and real estate laws.
• Assist with due-diligence matters
• Monthly authorizations for sales document signatures.
• Obtaining signatures of corporate officers on various documents.
• Assist with the annual renewals and amendments of timeshare projects already in existence.

Job Requirements

Requirements:

• Associate's Degree in Paralegal or related studies required; Bachelor’s Degree preferred.
• 2 or more years of experience providing paralegal services, legal research and support to managers and attorneys in real estate and corporate matters within a private law firm or in-house corporate legal department setting
• Working knowledge of Federal, State, and local laws and regulations involving real estate development contractual agreements, familiarity with state law and practices governing corporate formation and ongoing operating maintenance
• Detail-oriented with strong analytical and problem solving skills, strong ability to think strategically and analyze information timely and accurately, strong interpersonal communication skills to deal effectively with all levels of the organization
